By accessing or utilizing the Managely platform, you formally consent to these Terms of Service. Our enterprise support team remains available to address any inquiries via official channels to ensure complete mutual understanding.

We reserve the right to periodically amend these terms to reflect technological advancements or regulatory requirements. Material changes will be communicated to your designated administrators via official channels prior to implementation.

Upon selecting a commercial tier, subscription fees are collected in advance to allocate server resources and provision your corporate workspace. This prepaid model ensures maximum enterprise stability and uninterrupted operational continuity.

Subscriptions automatically renew on their respective billing cycles to ensure seamless business continuity. Proactive notifications are dispatched to prevent disruptions. Should auto-renewal fail, the following protocol applies:

• 24-Hour Grace Period: An administrative window to complete payment without any service interruption.
• Temporary Suspension: Following the grace period, platform access is temporarily restricted until financial settlement.
• Cancellation Processing: Unrenewed subscriptions are administratively processed for cancellation within 24 hours of the original due date.

• Coverage Scope: Applicable exclusively to the initial primary subscription tier fee.
• Exclusions: Advanced implementation fees, training, or finalized consulting services.
• Applicability: Strictly valid for the first paid subscription (renewals are excluded).
• Notice: The financial guarantee is rendered void if a free evaluation was utilized within the prior 30 days.

• Expired Subscriptions: Workspaces are programmatically and permanently deleted 4 days post-grace period if unpaid.
• Abandoned Environments: Systems lacking an active subscription are automatically purged 16 days from initial creation.
• Payment Failures: Automated alerts are dispatched to administrators upon billing failure to prompt immediate financial action.
• Delinquency Flags: Subscriptions 48 hours past due are flagged 'Requires Renewal' to direct manual administrative intervention.

The subscribing entity assumes full responsibility for timely subscription renewals and maintaining valid payment methods. While Managely provides comprehensive alerting mechanisms, we hold no legal liability for business interruptions stemming from delinquent payments.

We reserve the right to restrict service or terminate contracts in instances of material breach of terms or unlawful practices, thereby protecting the infrastructure of our wider client base. Nevertheless, our primary approach relies on constructive dialogue to find flexible resolutions prior to termination.

We are committed to delivering advanced cloud infrastructure adhering to the highest security and stability standards. However, software services are provided on a 'commercially reasonable efforts' basis, and we cannot guarantee absolute immunity from unforeseen technical anomalies or force majeure network disruptions.

These terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any legal disputes unable to be resolved amicably shall fall under the exclusive jurisdiction of the competent Egyptian courts.
