Mutual Agreement
This agreement aims to protect confidential information between Managely and the Client. By proceeding with our services, both parties commit to full confidentiality of all shared data.
Definition of Confidential Information
"Confidential Information" means all data and information representing intellectual property, including but not limited to:
- Financial information, reports, analytics, and forecasts
- Computer programs, source codes, and databases
- Information shared during projects or collaboration between the parties
- Any other information deemed confidential by mutual agreement
Obligation to Maintain Confidentiality
The receiving party of confidential information agrees to:
- Not disclose the information to third parties without written consent from the other party
- Use the information only for the purposes mutually agreed upon
- Take all necessary measures to protect confidential information from leakage or unauthorized access
Exceptions
Confidentiality obligations do not apply to information that:
- Becomes public knowledge without fault of the receiving party
- Is disclosed under legal compulsion or valid court order
- Is obtained from a third party legally and without breaching this agreement
Duration of Agreement
5-Year Term
This agreement remains in effect for five (5) years from the date of signing, or until the confidential information is publicly disclosed by the owning party — whichever comes first.
Consequences of Breach
Legal Action
In the event of any breach of this agreement, the affected party has the right to take legal action, including financial compensation and all available legal remedies.
Acceptance of Agreement
Binding Commitment
By engaging with Managely's services, both parties acknowledge and accept all terms stated herein and commit to abiding by them fully and in good faith.
